These Terms of Use (this “Agreement” or “Terms of Use”) are a legally binding agreement between you (the “User,” “you,” or “your”) and BPR Hub Private Limited (“BPR Hub,” “we,” “us,” or “our”). You acknowledge and agree that your access to and use of the BPR Hub website at https://bprhub.com (the “Website”) will be governed by this Agreement, our Privacy Policy, Terms and Conditions, and any related terms.

Your use of our Website shall constitute your acceptance of this Agreement and to all of the terms and conditions stated under this Agreement and our Privacy Policy referenced herein.

Please read the terms of this Agreement carefully to ensure you understand each provision. Note that these Terms include a binding arbitration provision and class action/jury trial waiver, which require the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and limit remedies available to you in certain cases.

By accepting this Agreement—either by clicking a box indicating your acceptance or by using and navigating our Website—you agree that:
(a) You have read and understood the Agreement;
(b) You are at least 18 years old;
(c) You have the capacity to form a binding contract; and
(d) You accept and agree to be legally bound by this Agreement, our Privacy Policy, and Terms and Conditions.

Additionally, you consent on behalf of your minor child (if applicable) who accesses the Platform via your registration or account, including the arbitration clause set forth herein. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. In that case, the terms “you” and “your” refer to that entity and its affiliates. If you do not have such authority, or if you do not agree with this Agreement, you must not use the Website.

Capitalized terms not otherwise defined herein have the same meaning as ascribed to them in our Privacy Policy.

1. INTRODUCTION TO BPR HUB

BPR Hub is a private limited company registered at Flat No. 409, Dhanalakshmi, Main Road, Near Padmaja C, Poranki, Krishna – 521137, Andhra Pradesh. We specialize in automating compliance and streamlining processes for manufacturers through a SaaS platform that digitizes and manages comprehensive compliance requirements. Our Platform simplifies regulatory processes by integrating multiple standards, automating workflows, and providing real-time visibility across compliance stages.

2. PRIVACY POLICY

Our Privacy Policy describes how we handle the personal and business information you provide when registering for and using our Website. By using our Website, you consent to the collection and use of your information (as described in the Privacy Policy), including the transfer of your data to India, the United States, Canada, or other countries for storage, processing, and use by BPR Hub and its affiliates.

3. ELIGIBILITY & ACCESS RESTRICTIONS

To use our Website, you must:
(a) Be 18 years of age or older;
(b) Not be restricted or prohibited from accessing our Website;
(c) Not be a competitor or using the Website for competitive purposes;
(d) Maintain only one registered account at any given time;
(e) Have full power and authority to enter into this Agreement without violating any other agreement;
(f) Not infringe upon our rights, including intellectual property rights; and
(g) Bear all costs related to equipment, browser software, and internet access necessary to use the Website.

4. SERVICE LICENSE

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, revocable, non-transferable license to:
(a) Download, install, and use our Platform or App on your mobile device strictly as permitted by this Agreement;
(b) Access and use the Website and content available through it.

You may not use, copy, adapt, modify, prepare derivative works based upon our Website, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit our Website, except as expressly permitted in this Agreement.

When using and accessing our Website, you need to make sure that your internet connection is adequate. You are solely responsible for your internet connection including and not limited to the applicable charges, rates, tariffs, and other fees that might apply.

You agree that BPR Hub is not liable for any damages or injury resulting from your access to or use of our Website. We provide no warranty of fitness for a particular purpose or warranty of merchantability. There is no warranty that extends beyond what is described herein.

In the event of any alleged loss or injury, damages are limited to the fee (if any) that you have paid to BPR Hub for access to or use of the Website.

5. ACCESS AND SERVICE RESTRICTIONS

You acknowledge that our Website—including, but not limited to, graphics, trademarks, and editorial content—contains proprietary content, information, and materials that are owned by BPR Hub and/or our licensors (which may include customers, brands, and agencies). These materials are protected by applicable intellectual property laws, including copyright. You agree to use such proprietary content, information, or materials solely for your permitted use of the Website and in ways that are consistent with this Agreement.

You further agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on our Website in any way. Additionally, you agree not to misuse the Website—for example, by transmitting viruses, worms, Trojan horses, or other harmful software, or by placing an unreasonable load on our systems. You also agree not to use the Website to engage in harassment, abuse, stalking, threats, defamation, or any activity that infringes the rights of others. While we work to maintain a safe environment, we are not responsible for any offensive, infringing, or unlawful messages or transmissions that you may encounter while using the Website.

6. RESERVATION OF RIGHTS

You acknowledge and agree that our Website is provided for your personal or authorized use. Except for the limited access and use rights granted under this Agreement, nothing in this Agreement conveys any title or ownership rights in any copyrights, patents, trademarks, trade secrets, or other proprietary rights related to the Website, whether expressly, by implication, or otherwise.

BPR Hub and its licensors and service providers reserve and will retain their entire right, title, and interest in and to our Website including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.

7. ACCESS RIGHTS

You may access and use our Website at https://bprhub.com. When using the Website, you may be required to provide registration details, including personal information. You acknowledge and agree that we have the right to disable your access at any time if, in our reasonable opinion, you have violated any part of this Agreement or our Privacy Policy. You also agree to cooperate with us if your actions—or those of someone else using your account—compromise the security of the Website. We are not responsible for any loss or damage resulting from your failure to comply with this section.

We collect personal and business information (as described in our Privacy Policy) when you register to use our Website. This information is necessary to provide you with access to the Website and is stored securely on our servers. Upon your written request, we will provide you with a list of the personal information we store within thirty (30) days of receiving your request. We will also delete your information within thirty (30) days of a valid written request. 8. REQUIRED CONDUCT AND PROHIBITED CONDUCT

As a condition of accessing our Website, you agree to follow this Agreement and to strictly adhere to the following:

Required Conduct:

i. Comply with all applicable laws, including but not limited to tax, export control, and regulatory requirements;
ii. Provide accurate information and keep it updated as necessary;
iii. Review and abide by our Privacy Policy and Terms and Conditions; and
iv. Review and comply with any notices we send you regarding the Website.

Prohibited Conduct:

i. Duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, or otherwise transfer or commercially exploit our Website (excluding your own user content); ii. Reverse engineer, decompile, disassemble, or attempt to access the source code of the Website; iii. Use any Website content to provide a competing service; iv. Imply or claim any affiliation with BPR Hub without our written consent; v. Adapt, modify, or create derivative works from the Website or its underlying technology; vi. Rent, lease, loan, trade, or sell access to the Website; vii. Make excessive automated requests that go beyond standard use; viii. Use bots, scripts, or similar methods to scrape or crawl any part of the Website; ix. Use automated tools to send messages or add contacts; x. Frame, mirror, or otherwise replicate the appearance of the Website; xi. Access the Website via any method other than the official interface provided; xii. Attempt to override any Website security features; xiii. Take any action that disrupts or puts an unreasonable load on our infrastructure; xiv. Remove copyright, trademark, or proprietary notices from the Website; xv. Use Website information to harass, abuse, or harm others; or xvi. Promote or engage in any illegal, offensive, discriminatory, or harmful behavior through the Website.

9. BPR HUB COMMUNICATIONS

By using the Website, you understand and agree that you may receive communications from BPR Hub, including emails, text messages, or calls, if you have provided us with your contact details. You consent to receive these communications, and you acknowledge that your mobile carrier may charge fees for text messages or data use; you are solely responsible for these fees.

Email Contact:

We may send you promotional messages about our services. When you email us at support@bprhub.com with a query, you are consenting to receive our replies to that email address. By providing your email, you agree to these Terms of Use and our Privacy Policy.

Push Notifications:

You may opt out of push notifications through your device settings. Please note that disabling notifications may affect your experience with the Website

10. PAYMENT

At present, we provide access to our Website at no charge. If this changes in the future, we will notify you in advance as outlined in Section 19 or as otherwise agreed between you and BPR Hub.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BPR Hub and our officers, employees, directors, managers, agents, and customers (the “Indemnitees”) from and against any and all costs, liabilities, losses, and expenses (including reasonable attorneys’ fees) that arise out of any claim, suit, action, demand or proceeding brought by any third party against BPR Hub due to:

(i) a breach of this Agreement;
(ii) the negligence, fraud, or willful misconduct of you or your employees, agents, or contractors;
(iii) incorrect information provided by you in your account or elsewhere; or
(iv) a failure by you or your employees, agents, contractors or invitees to comply with applicable laws and regulations.

12. DISCLAIMERS

Your use of our Website is at your own risk. The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties—whether express or implied—including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty or representation and disclaim all responsibility and liability for:

(i) the completeness, accuracy, reliability, or security of the Website or its content;
(ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of our Website or any content;
(iii) the deletion of, or the failure to store or to transmit, any content and other communications maintained by our Website;
(iv) whether our Website will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

No advice or information, whether oral or written, obtained from us or through our Website, will create any warranty or representation not expressly made herein.

Please note that BPR Hub does not review, verify, revise, endorse, or otherwise approve any content created or posted by our users, whether communicated to other users or third parties via our Website. However, BPR Hub will remove any content that violates applicable laws or this Agreement.

We are not liable for any content created or posted by users, including—but not limited to—any errors, omissions, or resulting loss or damage of any kind. All such content is the sole responsibility of the users who created it, and BPR Hub expressly disclaims any involvement or responsibility in the creation or publication of user-generated content.

13. LIMITATION OF LIABILITY

You acknowledge and agree that BPR Hub will not, under any circumstances, be liable to you or any third party for any indirect, punitive, exemplary, incidental, special, or consequential damages—whether arising from contract, tort (including negligence), or otherwise—related to this Agreement or your use of (or inability to use) our Website. This includes, without limitation, any information made available through our Website under this Agreement.

If a court of competent jurisdiction determines that the above limitation of liability is unenforceable, then BPR Hub’s maximum liability for all claims of any kind shall not exceed INR 100/-. This limitation includes, but is not limited to, any damages resulting from technical malfunctions, computer errors, loss of data, or other issues resulting from use of our Website.

Please note that some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such cases, the scope and duration of any applicable warranties, and the extent of our liability, will be limited to the minimum extent allowed by applicable law.

14. TERMINATION

We reserve the right to suspend or terminate your account or restrict access to all or part of our Website at any time, with or without cause. This may include situations where we reasonably believe that: (i) you have violated this Agreement or our Privacy Policy; (ii) your actions pose a risk or potential legal exposure to BPR Hub; or (iii) continuing to provide our Website is no longer commercially feasible.

Where practicable, we will make reasonable efforts to inform you of such termination via the email address linked to your account or during your next attempt to access the Website.

Upon termination, this Agreement will end, and your license to use the Website will be revoked. However, any provisions that by their nature or context are intended to remain in effect after termination will continue to apply.

15. COPYRIGHT INFRINGEMENT/DMCA NOTICE

If you believe that any content on our Website violates your copyright and you wish to have the allegedly infringing material removed, please submit a written notification (pursuant to the U.S. Digital Millennium Copyright Act of 1998 (“DMCA Takedown Notice”)) to our designated Copyright Agent with the following information:

  • Your physical or electronic signature;
  • Identification of the copyrighted work(s) that you claim have been infringed;
  • Identification of the material on our Website that you claim is infringing, along with a request for its removal;
  • Sufficient information to enable us to locate the material in question;
  • Your address, telephone number, and email address;
  • A statement affirming that you have a good faith belief that the disputed use of the material is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information provided in your notice is accurate, and under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the copyright owner.

Please be aware that for BPR Hub to take action, your DMCA Takedown Notice must comply with all the requirements above. Also note that, under 17 U.S.C. § 512(f), any misrepresentation of material fact in a notification may expose the complaining party to liability for damages, costs, and attorneys’ fees incurred by BPR Hub in connection with such claims.

16. ASSIGNMENT

This Agreement is personal to you. You may not assign or transfer your rights or obligations under this Agreement to any other person or legal entity. Any attempted assignment shall be void.

17. ANTI-BRIBERY AND US EXPORT COMPLIANCE

You agree not to promote, distribute, transfer, sub-license, or otherwise make our Website or its services available in violation of applicable laws, including but not limited to the Indian Prevention of Corruption Act, 1988; the U.S. Foreign Corrupt Practices Act; the U.K. Bribery Act; and similar anti-corruption laws in other jurisdictions.

Further, you agree not to knowingly export, re-export, transfer, or release (collectively, "Export") our Website to any destination, person, or entity prohibited under U.S. law, including without limitation, those listed on any denied parties lists or specially designated nationals lists maintained under the Export Administration Regulations or the Office of Foreign Assets Control (OFAC), without proper U.S. government authorization.

18. MODIFICATIONS

We may update or modify these Terms of Use from time to time. Any changes will be posted on our Website, with a notice and a hyperlink provided at the bottom of the page. Your continued use of the Website following any changes constitutes your acceptance of the revised Terms of Use.

19. RELATIONSHIP OF PARTIES

You and BPR Hub are independent contractors. Nothing in this Agreement shall be construed to create any relationship other than that of independent contracting parties. This Agreement does not create a partnership, joint venture, employment, or agency relationship. You agree that you do not have authority to bind BPR Hub in any manner or represent yourself as an agent or representative of BPR Hub.

20. GOVERNING LAW; DISPUTE RESOLUTION; JURISDICTION

This Agreement, including all acts and transactions pursuant hereto and all rights and obligations of the parties, shall be governed by, construed, and interpreted in accordance with the laws of the State of Karnataka, India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with this Agreement—including its existence, validity, interpretation, performance, breach, or termination—shall be finally resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996 (as amended from time to time). The arbitration shall be conducted by a sole arbitrator, jointly appointed by you and BPR Hub. If the parties are unable to agree on an arbitrator, the appointment shall be made in accordance with the rules of the Act.

The seat, venue, and place of arbitration shall be Bangalore, Karnataka, India. Hearings may be conducted virtually via video conferencing if agreed upon by the parties or as determined by the arbitrator. The arbitration proceedings shall be conducted in English. The decision and award rendered by the arbitrator shall be final and binding on both parties.

Subject to the above arbitration clause, the courts located in Bangalore, Karnataka, shall have exclusive jurisdiction over any matter arising out of or in connection with this Agreement, including enforcement of the arbitration award.

You and BPR Hub expressly waive any right to trial by jury and any right to participate in a class action or class arbitration. All disputes shall be resolved on an individual basis only. Neither party shall bring or participate in a class, collective, consolidated, or representative action, whether in arbitration or in court.

If you are located in the United States, you have the right to opt out of the binding arbitration provision within thirty (30) days from the date you first accepted these Terms. To opt out, you must send a written notice to:

The notice must include your full name and clearly state your intention to opt out of binding arbitration. Please note that the opt-out is valid only if received within the specified 30-day period.

If any provision of this Section is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. The waivers and restrictions stated in this section are severable and will remain valid except as prohibited by applicable law.

21. MISCELLANEOUS

This Agreement, together with our Privacy Policy and Terms and Conditions, constitutes the entire agreement between you and BPR Hub with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, communications, or understandings, whether written or oral.

Our failure to exercise or enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the remaining provisions of this Agreement shall remain in full force and effect.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of our Website or this Agreement must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.

A party’s failure to act with respect to a breach by the other party does not constitute a waiver of the right to act with respect to that breach or any subsequent or similar breaches.

All sections of this Agreement that are intended to survive termination shall remain in effect even after termination.

Section titles in this Agreement are for convenience only and have no legal or contractual effect.
